(the \u201cCompany\u201d) received a letter (the \u201cLetter\u201d) from the Listing Qualifications Department of the Nasdaq Stock Market (\u201cNasdaq\u201d) notifying the Company that it is not in compliance with periodic requirements for continued listing set forth in Nasdaq Listing Rule 5250(c)(1) because the Company\u2019s Quarterly Report on Form 10-Q for the period ended&nbsp;March&nbsp;31, 2025&nbsp;was not filed with the Securities and Exchange Commission by the required due date of&nbsp;May 15, 2025, and because the Company\u2019s Annual Report on Form 10-K for the year ended December 31, 2024 was not filed by the required due date of March 31, 2025 and has not yet been filed. This Letter received from Nasdaq has no immediate effect on the listing or trading of the Company\u2019s shares.<\/p>\n<p align=\"justify\">Under Nasdaq rules, the Company now has until&nbsp;Monday,&nbsp;June&nbsp;16, 2025, to submit a plan to regain compliance with Nasdaq Listing Rules. If Nasdaq accepts the Company\u2019s plan, Nasdaq may grant an exception until Monday,&nbsp;October 13, 2025, as instructed by the Letter, to regain compliance with the Nasdaq Listing Rules.
