TORONTO, Sept. 08, 2026 (GLOBE NEWSWIRE) — Carbon Streaming Corporation (Cboe CA: NETZ<\/strong>) (OTCQB: OFSTF<\/strong>) (FSE: M2Q<\/strong>) (the \u201cCompany<\/strong>\u201d), reports that Mr. Marin Katusa (the \u201cAcquiror<\/strong>\u201d), the Chief Executive Officer of the Company, has purchased 1,180,000 common shares of the Company (the \u201cAcquired Shares<\/strong>\u201d) pursuant to a private transaction at a purchase price of $0.92 per Acquired Share for an aggregate purchase price of $1,085,600 (the \u201cAcquisition<\/strong>\u201d).<\/p>\n

The requirement to file this news release was triggered by the Acquiror’s aggregate acquisition of 1,476,500 common shares of the Company (\u201cCommon Shares<\/strong>\u201d) since his previous early warning report. Such acquisitions increased the Acquiror’s ownership of Common Shares by 2.41% on a non-diluted basis and 2.37% on a partially diluted basis, in each case relative the Company\u2019s issued and outstanding Common Shares.<\/p>\n

Prior to the Acquisition, the Acquiror owned or controlled an aggregate of 6,049,000 Common Shares and 780,000 Common Share purchase warrants (\u201cWarrants<\/strong>\u201d), representing approximately 12.33% of the Company\u2019s issued and outstanding Common Shares on a non-diluted basis and 13.7% on a partially diluted basis<\/p>\n

Immediately following the Acquisition, the Acquiror owned or controlled an aggregate of 7,229,000 Common Shares and 780,000 Warrants representing approximately 14.74% of the Company\u2019s issued and outstanding Common Shares on a non-diluted basis and approximately 16.07% on a partially diluted basis<\/p>\n

The Acquired Shares were acquired for investment purposes. Depending on market conditions and other factors, the Acquiror may from time to time acquire additional securities, exercise convertible securities, dispose of some or all of the Acquiror\u2019s existing or additional securities of the Company, or continue to hold his securities of the Company.<\/p>\n
